LA931-20 International Sale of Goods
Introductory description
The principal goal is to enable students to understand and analyse the international conventions and privately promulgated rules as they apply to international sales of good transactions, the differences between national approaches to these issues, and the process by which these international conventions and rules came to exist. It will also refer in places to other model law instruments, especially the Unidroit Principles of International Commercial Contracts.
Module aims
This module will examine international transactions involving the sale and shipment of goods and payment for such goods. It will focus on international conventions and privately promulgated rules (chiefly INCOTERMS and the Uniform Customs and Practices for Documentary Credits) dealing with these matters, and not on national law, although at some points it will be necessary to look to national law, and where that is needed we will principally examine English law. It will also discuss the evolution of the principal international conventions in those areas and the tensions arising out of the need to secure agreement from countries with varying legal traditions and goals.

CISG: Rights and obligations
CISG: Remedies
Bills of Lading
Transport Conventions, especially the Hague-Visby Rules
Payment, especially Letters of Credit and the UCP
Learning outcomes
By the end of the module, students should be able to:
- Understand and analyse the substantive law governing the international sale of goods, especially the CISG and the major transport conventions such as the Hague-Visby Rules, and compare them both to national law and model laws such as the Unidroit Principles.
- Understand the history and main purposes of the Instruments that govern in the area, both international conventions and private rules such as INCOTERMS and the UCP.
- Discuss and evaluate the major proposals for reform in the area, especially the Rotterdam Rules.
- Understand and articulate the strategic and tactical issues that are likely to arise in the international sales of goods and be able to advise clients on how to achieve their aims in connection with such transactions.
